Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by BT Innovations L.L.C-FZ ("we", "us", "our" or "Prizmad") through the website at prizmad.com (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Definitions

"Account" — a unique account created for you to access our Service.
"Content" — information, text, graphics, videos, scripts, or other materials generated through or uploaded to the Service.
"Service" — the Prizmad AI UGC video ad generation platform, accessible at prizmad.com, including all features, tools, and related services.
"Tokens" — the credit system used to generate video ads through the Service, as described in your subscription plan.
"User" — any individual or entity who accesses or uses the Service.

2. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company or legal entity, you represent that you are authorized to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

3. Account Registration

To use certain features of the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must immediately notify us at support@prizmad.com of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payments

Subscription Plans: The Service offers subscription plans (Starter, Pro, and Agency) as described on our Pricing page. Each plan includes a specific number of tokens per billing cycle.

Billing: You will be billed in advance on a recurring basis (monthly), depending on the plan you select. Subscriptions automatically renew at the end of each term unless cancelled.

Tokens: Each video generation consumes tokens based on complexity. Tokens included in your subscription refresh at the beginning of each billing cycle and do not roll over to the next cycle. Additional tokens may be purchased separately.

Price Changes: We reserve the right to adjust pricing at any time. Price changes will take effect at the start of your next billing cycle following notice.

Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to the Service until the end of your current billing period. No refunds will be issued for the remaining portion of a billing cycle.

Refunds: All payments are non-refundable, except where required by applicable law. If you believe a charge was made in error, contact us at support@prizmad.com within 14 days.

5. Use of the Service

Permitted Use: You may use the Service to generate AI video advertisements for legitimate commercial and personal purposes in accordance with these Terms.

Prohibited Use — you agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Generate content that is defamatory, obscene, hateful, discriminatory, threatening, or promotes violence
Impersonate any person or entity, or misrepresent your affiliation
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Use the Service to transmit malware, viruses, or other harmful code
Reverse engineer, decompile, or disassemble any part of the Service
Scrape, crawl, or use automated tools to access the Service without our written consent
Resell or redistribute the Service without authorization
Use the Service to generate misleading or deceptive advertising content
Circumvent any usage limits, token restrictions, or security measures

We reserve the right to suspend or terminate your access if you violate these Terms.

6. Intellectual Property

Your Content: You retain ownership of any product information, descriptions, and materials you provide to the Service. By using the Service, you grant us a limited license to process this content solely for the purpose of delivering the Service.

Generated Content: You own full commercial rights to all video advertisements generated through your use of the Service. You may use generated content on any advertising platform, in any market, without additional licensing fees.

Our Intellectual Property: The Service, including its technology, software, design, branding, AI models, templates, and all related intellectual property, remains the exclusive property of Prizmad. Nothing in these Terms grants you any rights to our intellectual property beyond the limited right to use the Service as intended.

AI Avatars: The AI avatars available in the Service are proprietary assets. Your license to use generated videos containing these avatars is included in your subscription but does not extend to extracting, replicating, or using the avatar models independently.

7. Content Restrictions

You are solely responsible for the content you create using the Service, including its legality, accuracy, and appropriateness. The Service must not be used to generate content that:

Violates any applicable law or regulation
Infringes on the intellectual property rights of any third party
Contains false, misleading, or deceptive claims about products or services
Promotes illegal products, substances, or activities
Exploits or harms minors in any way
Violates the advertising policies of target platforms (TikTok, Meta, Google, etc.)

We reserve the right to remove any content and terminate accounts that violate these restrictions without notice.

8. Disclaimers

"As Is" Basis: The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee of Results: We do not guarantee any specific advertising results, including click-through rates, conversion rates, ROAS, or sales outcomes. Performance metrics referenced on our website are based on aggregated user data and individual results may vary.

Service Availability: We do not guarantee uninterrupted or error-free operation of the Service. We may perform scheduled maintenance with advance notice and are not liable for downtime caused by circumstances beyond our reasonable control.

Third-Party Services: The Service integrates with third-party providers (including ElevenLabs, AI video generation services, and payment processors). We are not responsible for the performance, availability, or policies of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, Prizmad and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Prizmad, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any applicable law or regulation
Content you create, submit, or distribute through the Service
Your infringement of any third party's rights

11. Term and Termination

These Terms remain in effect as long as you use the Service. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law survive termination.

You may terminate your account at any time by contacting us at support@prizmad.com or through your account settings.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Dubai.

Any disputes arising from these Terms or your use of the Service shall be resolved through the courts of Dubai, U.A.E., unless otherwise agreed in writing.

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days.

13. General Provisions

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Prizmad regarding the Service.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.
